These Terms and Conditions ("Terms") govern access to and use of the TandemOne platform, website, applications, and related services (collectively, the "Platform") operated by Tandem Global, Inc., an Illinois corporation doing business as TandemOne ("TandemOne," "Company," "we," "our," or "us").
By accessing or using the Platform, creating an account, or otherwise using any services offered through the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
1. ABOUT TANDEMONE
TandemOne is a business-to-business ("B2B") networking and supplier discovery platform designed to help buyers, suppliers, manufacturers, distributors, service providers, and other commercial organizations identify, connect with, and evaluate potential business partners.
TandemOne facilitates introductions, networking, supplier discovery, opportunity sharing, and related business development activities. TandemOne is not a party to any transactions, contracts, negotiations, or business relationships that may arise between users.
2. ELIGIBILITY
The Platform is intended solely for:
- Businesses and commercial organizations;
- Authorized representatives of businesses;
- Individuals acting within the scope of their employment or professional responsibilities; and
- Users who are at least eighteen (18) years old and legally capable of entering into binding agreements.
The Platform is not intended for personal, household, or consumer use.
By using the Platform, you represent and warrant that you have authority to bind the organization you represent to these Terms.
3. BUSINESS ACCOUNTS
Users may create organizational accounts on behalf of a business.
An account may include multiple authorized users, administrators, employees, contractors, or representatives ("Authorized Users").
The organization that owns an account is responsible for:
- All activities conducted through its account;
- Managing access permissions;
- Maintaining the confidentiality of login credentials;
- Ensuring Authorized Users comply with these Terms; and
- Promptly notifying TandemOne of unauthorized access or security incidents.
TandemOne may suspend or terminate accounts that violate these Terms or create security, legal, or operational risks.
4. PLATFORM SERVICES
The Platform may include:
- Supplier discovery tools;
- Buyer discovery tools;
- Company profiles;
- Opportunity postings and requests for quotation (RFQs);
- Messaging and communication features;
- Supplier verification services;
- Business networking functionality;
- Document and file sharing capabilities;
- Analytics and business intelligence features; and
- Additional services introduced from time to time.
TandemOne reserves the right to modify, discontinue, or enhance any portion of the Platform at any time.
5. FREE AND PAID SERVICES
The Platform may offer both free and paid subscription plans.
Free Services
Free accounts may have limited functionality, limited visibility, limited access to company information, or other restrictions determined by TandemOne.
Paid Services
Paid subscriptions may provide enhanced access, premium features, expanded search capabilities, increased visibility, advanced analytics, verification benefits, or other services.
Subscription features and pricing may change from time to time.
Automatic Renewal
Unless otherwise specified, paid subscriptions automatically renew for successive subscription periods until canceled.
Users authorize TandemOne and its payment providers to charge applicable subscription fees and taxes using the payment method on file.
Cancellation
Subscribers may cancel their subscriptions at any time through the Platform or by contacting support.
Unless required by law, subscription fees are non-refundable and no refunds or credits will be issued for partial subscription periods.
6. VERIFICATION SERVICES
TandemOne may perform verification activities relating to businesses, suppliers, certifications, corporate information, capabilities, facilities, ownership information, compliance records, or other business-related data.
Verification services are intended to improve trust and transparency but do not constitute guarantees.
Even where a company has been verified, TandemOne does not guarantee:
- Accuracy of all information;
- Current operational status;
- Financial stability;
- Product quality;
- Regulatory compliance;
- Contract performance; or
- Future business conduct.
Users remain solely responsible for conducting their own due diligence before entering into any business relationship.
7. USER CONTENT
Users may upload, submit, transmit, publish, or share:
- Company information;
- Product information;
- Marketing materials;
- Images;
- Videos;
- Certifications;
- Technical documentation;
- Catalogs;
- PDFs;
- RFQs;
- Opportunities;
- Messages; and
- Other content ("User Content").
Users retain ownership of their User Content.
By uploading User Content, users grant TandemOne a worldwide, non-exclusive, royalty-free license to host, reproduce, store, display, distribute, and use such content for operating, maintaining, improving, promoting, and providing the Platform.
Users represent and warrant that:
- They own or have rights to the User Content;
- The User Content does not infringe intellectual property rights;
- The User Content is accurate and not misleading; and
- The User Content complies with applicable laws.
8. PROHIBITED CONDUCT
Users shall not:
- Provide false or misleading information;
- Impersonate another person or organization;
- Misrepresent certifications, capabilities, or qualifications;
- Violate applicable laws or regulations;
- Upload malware or harmful code;
- Interfere with Platform operations;
- Harvest or scrape data without authorization;
- Circumvent security measures;
- Use the Platform for spam or mass solicitation;
- Upload unlawful, defamatory, infringing, or fraudulent content;
- Infringe intellectual property rights; or
- Use the Platform for illegal, deceptive, or unethical business practices.
9. BUSINESS RELATIONSHIPS AND TRANSACTIONS
TandemOne serves solely as a platform that facilitates introductions and connections between businesses.
TandemOne is not:
- A broker;
- An agent;
- A distributor;
- A reseller;
- A procurement representative;
- A contracting party; or
- A guarantor of any transaction.
Any negotiations, purchases, sales, contracts, business arrangements, or commercial relationships occur solely between users.
TandemOne is not responsible for disputes, payment failures, product quality issues, delivery failures, regulatory violations, fraud, or any other issues arising from interactions between users.
10. NO GUARANTEE OF RESULTS
TandemOne does not guarantee:
- New business opportunities;
- Supplier matches;
- Sales;
- Revenue increases;
- Successful sourcing outcomes;
- Contract awards;
- Responses to RFQs;
- Business relationships; or
- Any particular commercial result.
Platform performance may vary significantly among users.
11. INTELLECTUAL PROPERTY
The Platform and all associated software, technology, trademarks, logos, designs, text, graphics, databases, and content provided by TandemOne are owned by or licensed to TandemOne and are protected by applicable intellectual property laws.
Except as expressly permitted, users may not:
- Copy;
- Modify;
- Reverse engineer;
- Distribute;
- Create derivative works from; or
- Exploit Platform materials.
"TandemOne" and related branding are proprietary trademarks of Tandem Global, Inc.
12. PRIVACY
Use of the Platform is subject to the TandemOne Privacy Policy, which is incorporated into these Terms by reference.
Users consent to the collection, processing, storage, and transfer of information as described in the Privacy Policy.
13. INTERNATIONAL USERS
The Platform is operated from the United States and may be accessed worldwide.
Users are responsible for compliance with local laws, regulations, import/export controls, trade restrictions, sanctions laws, and data protection requirements applicable in their jurisdictions.
By using the Platform, users acknowledge that data may be transferred to and processed in the United States and other countries where TandemOne or its service providers operate.
14. DISCLAIMERS
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANDEMONE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
TANDEMONE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
15. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANDEMONE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
IN NO EVENT SHALL TANDEMONE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM EXCEED THE GREATER OF:
(A) THE AMOUNT PAID BY THE USER TO TANDEMONE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS (US$100).
16. INDEMNIFICATION
Users agree to defend, indemnify, and hold harmless TandemOne and its affiliates, officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, losses, costs, and expenses arising out of:
- Use of the Platform;
- User Content;
- Violation of these Terms;
- Violation of law; or
- Violation of third-party rights.
17. TERMINATION
TandemOne may suspend, restrict, or terminate access to the Platform at any time, with or without notice, for any reason, including violation of these Terms.
Upon termination, provisions that by their nature should survive termination shall remain in effect.
18. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to conflict of law principles.
19. DISPUTE RESOLUTION
Any dispute arising out of or relating to these Terms or the Platform shall first be addressed through good-faith negotiations.
If a dispute cannot be resolved informally, the parties agree to submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its applicable commercial arbitration rules.
The arbitration shall take place in Illinois, United States, and shall be conducted in English.
Judgment on the arbitration award may be entered in any court having jurisdiction.
Nothing in this section prevents either party from seeking temporary or equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
20. CHANGES TO THESE TERMS
TandemOne may modify these Terms from time to time.
Updated versions will be posted on the Platform with a revised effective date.
Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms.
